Negotiating Usage Rights and Exclusivity in Brand Deals

Usage rights and exclusivity are the two contract terms most likely to be worth more than the payment itself. Here's how to negotiate them properly.

Usage rights and exclusivity clauses are consistently the two most underpriced elements in creator brand deals, largely because they're less visible than the headline payment number and easier for a brand to bundle in without a separate, explicit price attached — treating them as negotiable line items rather than a given is one of the highest-leverage habits a creator can build.

Usage rights define where and how long a brand can use your content beyond your own posting of it — organic reposting on their own channels is one thing, but paid advertising usage, especially for an extended period, represents meaningfully more value than a single organic post and should be priced as a separate consideration.

Exclusivity clauses restrict you from working with other brands, sometimes an entire product category, for a defined period — the broader the category restriction and the longer the time period, the more this should factor into the payment, since it represents real lost opportunity cost for other collaborations during that window.

Questions to ask before agreeing to either

Exactly where will the content be used beyond your own account — organic only, or also paid ads? For how long does the brand retain usage rights? Does exclusivity apply to an entire category of competitors, or just the brand's direct competitors specifically? What is the exact time period for any exclusivity clause?

A reasonable negotiation approach

Treat organic usage rights, paid advertising usage rights, and exclusivity as three separate items each with their own value, rather than accepting a single bundled payment that's meant to somehow cover all three without clear individual terms.

Why this matters more as you grow

As your audience and rates grow, these bundled terms become proportionally more valuable to brands and proportionally more important to negotiate explicitly — a term that seemed minor at a smaller scale can represent significant unpriced value once your content and reach are worth more.
